Master Cloud Services, Subscription, and End-User License Agreement (EULA)

Platform Entity: Herd Manager (hereinafter referred to as the "Licensor," "Company," "We," or "Us")

This Master Cloud Services, Subscription, and End-User License Agreement (the "Agreement") constitutes a legally binding covenant between Herd Manager and the subscribing individual, corporate entity, or agricultural consortium (hereinafter referred to as the "Licensee," "Customer," "You," or "Your").

By initiating the authentication process, rendering payment, or otherwise interfacing with the digital infrastructure, application programming interfaces (APIs), public calculators, or graphical user interfaces (GUIs) of the Herd Manager ecosystem (the "Services"), the Licensee unequivocally accedes to the stipulations delineated herein. If the signatory is consummating this Agreement on behalf of a juridical entity, said signatory expressly warrants possessing the requisite statutory and corporate authority to bind said entity to these covenants. In the absence of such authority, or in the event of dissent regarding any provision herein, access to the Services is strictly forbidden.

1. Exhaustive Definitions

"Authorized Surrogate" denotes any personnel, farm operative, veterinary consultant, or computational agent expressly sanctioned by the Licensee to interface with the Account under the Licensee's vicarious liability.

"Customer Telemetry and Demographics" (or "Customer Data") encompasses all alphanumeric inputs, livestock pedigrees, lactation analytics, financial ledgers, and operational metadata ingested into the Services by the Licensee.

"Force Majeure Phenomenon" delineates any catastrophic exigency transcending the Licensor's reasonable mitigation capabilities, including, inter alia, seismic events, governmental embargoes, cessation of global internet backbones, or malicious state-sponsored cyber-intrusions.

2. Concession of License and Proscriptions

2.1 Conditional Concession. Contingent upon the punctilious remittance of all prescribed financial remuneration for paid subscription tiers (or compliance with these Terms for free public tools), the Licensor hereby bestows upon the Licensee a non-exclusive, non-transferable, unassignable, and revocable prerogative to exploit the Services solely for internal agricultural and enterprise resource planning.

2.2 Immutable Proscriptions. The Licensee, under peril of instantaneous repudiation of this Agreement and subsequent litigation, shall absolutely not, nor authorize any third party to:

• Subject the platform to reverse engineering, decompilation, code obfuscation circumvention, or any analytical endeavor aimed at extrapolating the underlying source code or proprietary algorithms.
• Synthesize derivative architectures or localized instantiations of the Services.
• Sub-license, alienate, syndicate, or commercially exploit the platform in a service-bureau or multi-tenant hosting capacity.
• Inject malicious payloads, polymorphic viruses, or execute denial-of-service (DoS) vectors against the Licensor's cloud infrastructure.

2.3 Continuous Platform Evolution. The Services are delivered in an "AS IS" and "AS AVAILABLE" condition. The Licensor retains the prerogative to enhance functionalities, update the graphical interface, or execute database maintenance to ensure continuous operational reliability and security.

3. Obligations and Fiduciary Duties of the Licensee

3.1 Cryptographic Safeguards. The Licensee bears the unilateral fiduciary duty to fortify all authentication tokens, cryptographic passwords, and multifactor authentication (MFA) protocols associated with their Account. The Licensor explicitly disclaims any vicarious liability for unauthorized data exfiltration proximately caused by the Licensee's negligent credential hygiene.

3.2 Statutory Adherence. The Licensee's utilization of the Services must run contiguous with all extant and prevailing municipal, federal, and international jurisprudence, encompassing but not limited to agrarian commerce regulations and trans-border data flow statutes.

4. Financial Remuneration and Subscription Terms

4.1 Non-Negotiable Remuneration. The Licensee is obligated to remit fiscal compensation as delineated in their selected subscription matrix.

4.2 Subscription Cancellations and Billing. Subscriptions may be canceled at any time prior to the next billing cycle. Fees paid for the active billing period are non-refundable except where required by applicable consumer protection law.

4.3 Adjudication of Financial Discrepancies. Any contestation of fiscal levying must be manifested in formal writing within fifteen (15) days of invoice issuance. Initiation of unauthorized chargebacks via financial institutions constitutes a material breach of contract.

5. Service Continuity and Infrastructure Resilience

5.1 Uptime and Maintenance. The Licensor maintains commercially reasonable uptime across its cloud infrastructure, performing scheduled maintenance during low-traffic windows whenever practicable.

5.2 Veterinary and Nutritional Decision Support Disclaimer. Public calculators, ration balancers, and decision-support modules on Herd Manager provide mathematical and scientific estimates based on published livestock literature (such as NRC, NASEM, and Schaeffer equations). They do not substitute for on-farm veterinary diagnosis, wet-chemistry forage analysis, or licensed clinical supervision.

6. Intellectual Property and Metadata Ingestion

6.1 Absolute Proprietorship. The Licensor unilaterally retains all sovereign rights, title, and patentability to the Herd Manager computational architecture, machine learning weights, and all ancillary intellectual property.

6.2 Anonymized Telemetry and Artificial Intelligence. While the Licensee retains fundamental ownership of their raw input data, the Licensor may utilize strictly anonymized and aggregated telemetry for the continuous improvement of platform models. The Licensor guarantees the cryptographic anonymization of all Personally Identifiable Information (PII).

7. Termination Protocols and Data Retention

7.1 Mechanisms of Severance. This covenant may be dissolved by the Licensor in the event of the Licensee's material breach of any clause herein, notably financial delinquency or unauthorized API exploitation.

7.2 Post-Termination Data Retention. Upon the culmination or severing of the Subscription Term, the Licensor retains Customer Data for thirty (30) days to allow account reactivation or export, after which associated Account telemetry is permanently expunged.

8. Exculpatory Clauses and Limitation of Liability

8.1 COMPREHENSIVE DISCLAIMER OF WARRANTIES. THE CLOUD INFRASTRUCTURE AND ANCILLARY SERVICES ARE DISPENSED WITHOUT ANY WARRANTIES, EXPRESS, STATUTORY, OR IMPLIED. THE LICENSOR CATEGORICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR AGRARIAN OR ECONOMIC PURPOSE.

8.2 CEILING OF FINANCIAL LIABILITY. UNDER NO CIRCUMSTANCES IN LAW OR EQUITY SHALL THE LICENSOR'S AGGREGATE FISCAL LIABILITY EXCEED THE QUANTUM OF REMUNERATION ACTUALLY TENDERED BY THE LICENSEE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT.

9. Jurisprudence and Statutory Alignment

9.1 Governing Law and Venue. This Master Agreement shall be scrutinized, interpreted, and enforced under the jurisprudence of the Islamic Republic of Pakistan, specifically invoking the competent tribunals situated within the Islamabad Capital Territory.

9.2 Extraterritorial Statutory Harmony. The platform's operational directives comply with the Electronic Transactions Ordinance, 2002 (ETO) and the Prevention of Electronic Crimes Act, 2016 (PECA).

9.3 Severability and Non-Waiver. Should any tribunal of competent jurisdiction decree any solitary provision of this Agreement as null, said provision shall be modified to the minimum extent necessary, preserving the remainder of the contract.
